Terms & Conditions
These Terms and Conditions govern your use of the services provided by Apex Systematic ("we", "us", "our"). By engaging our services, you agree to be bound by these terms. Please read them carefully before proceeding.
1. Services
Apex Systematic provides AI automation consulting and implementation services to self-employed professionals and small businesses. The scope of work for each engagement is agreed upon in a separate written proposal or service agreement prior to commencement.
We reserve the right to decline any engagement at our discretion. Acceptance of a proposal does not constitute a binding contract until confirmed in writing by both parties.
2. Payment Terms
Unless otherwise agreed in writing:
- A deposit of 50% of the total project fee is due before work begins
- The remaining balance is due upon project completion and handover
- Invoices are payable within 14 days of issue
- Late payments may incur interest at a rate of 2% per month
3. Intellectual Property
Upon receipt of full payment, all custom-built automation systems, workflows, and documentation delivered to you become your property. We retain the right to use general methodologies, techniques, and know-how developed during the project in future engagements.
Third-party tools, platforms, and software integrated as part of the delivery remain subject to their own licensing terms and are not transferred to you.
4. Confidentiality
We treat all information shared with us during an engagement as strictly confidential. We will not disclose your business information, processes, or data to any third party without your explicit consent, except where required by law.
5. Limitation of Liability
Our liability to you in connection with any engagement is limited to the total fees paid by you for that engagement. We are not liable for any indirect, consequential, or incidental losses arising from your use of the systems we deliver.
We do not guarantee specific business outcomes, revenue increases, or time savings resulting from the implementation of any automation system.
6. Warranties
We warrant that all work will be carried out with reasonable skill and care. We provide a 30-day post-handover support period during which we will rectify any defects directly attributable to our implementation at no additional cost.
7. Termination
Either party may terminate an engagement with 14 days written notice. In the event of termination, you will be invoiced for all work completed up to the date of termination. The deposit is non-refundable unless we are in material breach of these terms.
8. Governing Law
These terms are governed by Spanish law. Any disputes arising from engagements with Apex Systematic shall be subject to the exclusive jurisdiction of the courts of Spain.
9. Changes to These Terms
We may update these Terms and Conditions from time to time. Any changes will be published on this page. Continued engagement with our services following any changes constitutes your acceptance of the updated terms.
